Terms of Service

These terms govern your use of Memo (“the service”), operated by Sintetico Inc. (“we”, “us”). By creating an account, you agree to these terms.

1. Your account

  • You must use a valid email address and accurate identifying information (name, company, phone number).
  • You are responsible for maintaining the confidentiality of your password and for activity under your account.
  • One account per person. Sharing credentials violates these terms and we may suspend accounts found to be shared.

2. Acceptable use

You agree not to:

  • Upload documents you don’t have the right to analyze or documents containing unlawful content.
  • Attempt to reverse-engineer, scrape, or probe the service beyond normal product use.
  • Use the service to build a competing product, or to train machine learning models on our outputs.
  • Share, resell, or provide access to the service to third parties not covered by your plan.
  • Circumvent usage limits through multiple accounts, throwaway emails, or automation. (We detect and block most of this automatically.)

3. Your content

You own every CIM you upload and every output we generate from it. You grant us a limited license to process, store, and display those materials solely to operate the service for you. We do not use your content to train AI models and we do not share it with anyone beyond the sub-processors listed in our Privacy Policy.

4. Free tier

New accounts begin with two (2) lifetime free analyses so you can try Memo without entering payment details. After the free allowance is used, continued access requires an active paid plan. We may adjust free-tier limits with prior notice.

5. Fees and changes

Paid plans are billed in advance on a recurring basis at the price shown when you subscribe. Your price stays the same for the current billing period.

We may change prices for future billing periods. If we increase the price for your plan, we’ll email you at least 30 days before the change takes effect. If you don’t want to continue at the new price, you can cancel from Settings before your next billing date and the increase will not apply to you.

Founding member pricing is locked in for the first 12 months from your first paid invoice. After that, your subscription continues at the then-current standard price for your plan, subject to the 30-day notice above.

Taxes, currency conversion, and payment-processor fees are passed through where applicable. Refunds for partial periods are not provided except where required by law.

6. No investment advice

Memo generates analyst-style outputs (memos, DD checklists, LOIs) from the data you provide. These outputs are for informational purposes only and are not investment advice. You are solely responsible for independently verifying every figure and conclusion before acting on it. Investment decisions are yours.

7. Availability

We target best-effort availability. No formal uptime SLA applies unless a specific SLA is agreed in writing as part of a paid plan.

8. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Your use of the service is at your own risk.

9. Limitation of liability

To the maximum extent permitted by law, Sintetico Inc. is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenues, or business opportunities, arising from your use of or inability to use the service. Our total liability to you for any claim will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

10. Termination

You may delete your account at any time from Settings. Deletion is immediate and permanent. We may suspend or terminate accounts that violate these terms, attempt to defraud usage limits, or misuse the service.

11. Changes

We may update these terms. We’ll notify active users by email for material changes. Continued use after an update means you accept the revised terms. Price changes follow the separate notice process in Section 5.

12. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware.
